Vendor Agreement

This agreement is founder-review draft copy and must be reviewed by counsel before any vendor is activated for production sales.

Vendor activation should remain blocked until the required agreement version is accepted by an authorized vendor owner or admin.

Vendors are responsible for accurate product data, stock, pricing source data, shipping capabilities, fulfilment, support cooperation, prohibited goods compliance, and legal permission to sell listed goods.

Vendors must keep Stripe and Shopify connections in good standing and respond promptly to order, refund, moderation, and safety escalations.

Gifter may add a customer-facing markup and may deduct a brand commission from vendor payout according to platform settings, free-threshold rules, and any vendor-specific override.

Stripe fees, chargebacks, refunds, application fees, and reversals may affect payout timing and net settlement.

A vendor may be held in onboarding, pending review, paused, or suspended until operational, legal, policy, provider, or risk checks are satisfied.

Gifter may hide products, pause checkout, suspend a vendor, require remediation, or terminate participation when policy or trust requirements are not met.
